Terms + Limited Warranty
THE SHORT VERSION:
We stand behind our workmanship. We charge fairly for authorized work. We are responsible for what we actually cause - not every future equipment failure, lost sale, or spoiled product. The details below keep that simple promise clear.
THE LONG VERSION:
1. The agreement
When a Customer signs or electronically accepts a Coastline account form, proposal, work order, or service authorization that references these Terms, these Terms become part of that agreement. The version identified at acceptance governs that work. A negotiated master agreement or Coastline proposal controls if it expressly says something different. Customer purchase-order or portal boilerplate does not replace these Terms unless Coastline agrees in writing.
The person authorizing work represents that they have authority to do so. Electronic signatures, checkboxes, emailed approvals, and recorded digital authorizations may evidence acceptance to the extent permitted by law.
2. Scope, existing conditions & prior work
Coastline is responsible for the Work expressly described in the applicable scope. We service equipment as we find it and may have no prior service history. Our diagnosis and recommendations are based on conditions reasonably observable and information available at the time. A service call is not a certification of the entire machine or system, and Coastline does not assume responsibility for prior work, undisclosed or concealed conditions, improper installation or repair, miswiring, improper refrigerant charge, contamination, water or chemical exposure, bypassed controls or safeties, customer or employee actions, or work performed by others. Correcting one condition does not make Coastline responsible for damage or deterioration that condition caused before our repair.
PLAIN ENGLISH:
We own the repair we perform - not the machine's unknown history. If our repair fails, we make it right. A different failure is not automatically our recall.
3. Service, repairs, dispatches & maintenance
Service and repairs are billed as quoted or at Coastline's applicable labor, travel, parts, materials, freight, rental, permit, and related rates. A diagnostic or trip charge may apply even if Customer declines the recommended repair. Mechanical failures can have multiple, intermittent, or related causes, and additional conditions may become apparent after the authorized repair is completed.
Third-party dispatches. When Coastline is dispatched by a manufacturer, warranty administrator, facilities manager, service aggregator, cooperative, or other third party, we may rely on the complaint, service history, equipment information, and authorization provided to us. Coastline is not responsible for material prior conditions or history that were not disclosed or reasonably discoverable during the authorized Work. A third party's label of a return visit as a "recall," "callback," or similar term does not determine warranty coverage; coverage is based on cause and the scope of Coastline's prior Work.
Preventive maintenance covers only the equipment and tasks listed in the maintenance agreement. Corrective repairs, replacement parts, refrigerant, code upgrades, and work outside that scope are separate unless expressly included. Maintenance reduces risk; it cannot eliminate equipment failure. Renewal follows the applicable maintenance agreement.
4. Installations, projects & changes
Installation and project work follows the accepted proposal and its billing milestones. A milestone payment is earned when that milestone is substantially complete; minor punch-list items do not hold up an otherwise-earned payment. Concealed conditions, inaccurate site information, code or inspection requirements, Customer changes, or work by others may require a written change order and schedule adjustment.
Permits, utilities, approvals, and site conditions outside Coastline's written scope remain Customer's responsibility. Project schedules are estimates unless Coastline expressly guarantees a completion date in writing.
5. Warranty
Coastline warrants its workmanship on the specific repair performed for 90 days and on installation workmanship for 12 months, measured from completion or substantial completion/final inspection as applicable. If Coastline's workmanship on a covered repair is defective, we will return and correct that repair at no charge, including the labor and parts, materials, and refrigerant reasonably required to make our covered repair right. Routine preventive-maintenance tasks are not separately warranted; repair work performed during maintenance receives the 90-day repair warranty.
The warranty applies to Coastline's Work - not the equipment or system as a whole. A later failure within the warranty period is not automatically a recall. Coverage depends on whether the reported condition results from Coastline's covered workmanship. The warranty does not cover manufacturer or material defects; normal wear; corrosion, scale, water quality, drainage, improper utilities or controls; failures outside our documented Work; misuse or inadequate maintenance; unauthorized alteration; pre-existing or concealed conditions; prior or third-party work; damage or deterioration caused before our repair; casualty, weather, power events, or other external causes.
Parts and equipment carry the manufacturer's warranty to the extent assignable. Coastline does not independently extend that warranty. Manufacturer coverage may not include labor, travel, freight, refrigerant, diagnostics, removal, or reinstallation.
To request warranty service, notify Coastline promptly and give us a reasonable opportunity to inspect before the affected work is altered, removed, or repaired by someone else, except where immediate action is reasonably necessary to prevent injury or substantial additional property damage. If the condition is not covered, normal service charges may apply.
TO THE FULLEST EXTENT PERMITTED BY LAW, THESE ARE COASTLINE'S SOLE WARRANTIES IN PLACE OF OTHER EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
6. Protecting product, property & operations
Customer is responsible for protecting food, beverages, pharmaceuticals, inventory, and other temperature-sensitive property and for deciding whether backup equipment, alarms, remote monitoring, relocation, or insurance are appropriate. Coastline is not responsible for indirect, incidental, special, punitive, or consequential losses - including spoilage, lost inventory, lost profits, lost revenue, business interruption, loss of use, or goodwill - to the fullest extent permitted by law.
This exclusion is independent of the warranty remedy and survives even if another limited remedy fails of its essential purpose. Nothing in these Terms excludes liability that applicable law does not allow the parties to exclude.
WORTH PROTECTING:
If downtime can create a loss far larger than the equipment or service itself, use alarms, backup plans, and appropriate spoilage/business-interruption insurance. We would rather help prevent the emergency than debate the receipt afterward.
7. Property-damage claims
If Customer believes Coastline damaged property, please tell us as soon as reasonably practical, identify the property and service visit, preserve available photos or other evidence, and - when practical - let us inspect before the item is repaired, altered, discarded, or replaced. Coastline is responsible only to the extent damage is actually caused by Coastline or persons for whom Coastline is legally responsible. A Coastline visit occurring before damage is discovered does not, by itself, establish causation.
8. Payment
Invoices are due under the stated payment terms, typically Net 30. Past-due balances accrue simple interest at 1.5% per month (18% per year), or the maximum lawful rate if lower. Applicable sales tax is included in Coastline's pricing unless otherwise shown or a valid exemption is on file. A dispute over one charge does not excuse payment of undisputed amounts.
Coastline may suspend scheduling, maintenance, project work, credit, or warranty processing on a past-due account where permitted by law. Customer will reimburse reasonable collection costs, lien/bond expenses, court costs, and attorneys' fees incurred to collect amounts properly due, to the extent permitted by law. Coastline may use a third-party notice, lien-compliance, or collection service and reserves all lawful lien, bond, and payment rights.
9. Customer responsibilities
Customer will provide safe and timely access, accurate site and equipment information, required owner authorization, and notice of known hazards. Coastline may stop or reschedule work if conditions are unsafe, unlawful, inaccessible, or materially different from those quoted. Customer is responsible for proper operation and maintenance after service and for work or alterations performed by others.
10. Claims, insurance & commercial indemnity
Customer should promptly notify Coastline of claims involving bodily injury or significant property damage and preserve relevant evidence. Investigation by Coastline or its insurer is not an admission of liability.
For commercial Customers only, Customer will indemnify and defend Coastline against third-party claims to the extent arising from Customer's breach, negligence or willful misconduct, Customer-controlled persons, inaccurate information, misuse or unauthorized modification, or site conditions not created by Coastline. This obligation does not require Customer to indemnify Coastline for Coastline's own negligence or willful misconduct and applies only to the extent permitted by Florida law.
11. Delays, suspension & cancellation
Coastline is not responsible for delays beyond its reasonable control, including severe weather, supply or manufacturer delays, utility outages, permitting/inspection delays, government action, casualty, or labor disruption. Either party may terminate ongoing maintenance or project work for an uncured material breach after 15 days' written notice unless the applicable agreement says otherwise. Coastline may suspend immediately for nonpayment or unsafe conditions. Customer remains responsible for completed Work, ordered materials, and non-cancellable commitments.
12. Disputes & Florida law
Florida law governs. The parties will first try in good faith to resolve disputes directly. Unless applicable law requires otherwise, litigation will be brought in state or federal courts in Martin County, Florida. In an action to enforce the Agreement, the prevailing party may recover reasonable attorneys' fees and costs to the extent permitted by law. Arbitration is not required unless a separate signed agreement says otherwise.
13. The housekeeping
These Terms and the applicable Coastline account form, proposal, work order, maintenance agreement, or other signed agreement are the entire agreement for the Work. Material changes require written approval by an authorized Coastline representative; field technicians cannot waive amounts due or expand warranties. If a provision is unenforceable, the rest remains effective and that provision will be enforced to the maximum lawful extent. Failure to enforce a term once is not a waiver. Payment, warranty limitations, risk allocations, disputes, collection obligations, and commercial indemnity survive completion or termination.
Coastline may photograph equipment and Work for service documentation, quality control, warranty administration, training, and dispute resolution. Private residential interiors will not intentionally be used for public marketing without separate permission.
R. Residential customers
These Terms also apply to residential service and repair and do not waive any consumer right that cannot legally be waived. Where Florida law requires a transaction-specific notice, disclosure, acknowledgment, cancellation right, or other term for particular Work, it will be included in the applicable proposal, service authorization, or separate signed disclosure and will control over these Terms to the extent required by law.
That’s it. You made it. 🌴
We’ll do our part. You do yours. And we’ll both keep the equipment running.
These Terms are here to keep expectations clear — not make doing business complicated.
